Terms and Conditions

Last Updated: July 24, 2026

Welcome to Legalroom ("we," "us," "our," or the "Platform"). These Terms and Conditions ("Terms") govern your access to and use of Legalroom's website, application, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Legalroom provides a technology platform that helps users draft agreements and contracts using artificial intelligence ("AI"), followed by a review of the resulting document by a licensed attorney ("Reviewing Attorney") prior to the document being marked as "Validated."

The Service consists of:

  1. Guided Drafting — an AI-assisted intake process that generates a first draft of a contract or agreement based on information you provide.
  2. Attorney Review — a review of the AI-generated draft by a Reviewing Attorney, who may revise, redline, approve, or reject the draft.
  3. Finalization — tools to sign, download, and store the resulting document.

Legalroom is a technology and facilitation service. We are not a law firm, and we do not provide legal advice or legal representation. Legal review services are provided by independent, licensed Reviewing Attorneys, as described in Section 4.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent that you meet these requirements.

3. Nature of AI-Generated Content

3.1. Drafts produced by the AI drafting tool are generated based solely on the information you input. They are not legal advice, are not reviewed for legal accuracy, and should not be relied upon, signed, or acted upon until they have completed Attorney Review and been marked "Validated."

3.2. The AI may make errors, omissions, or assumptions based on incomplete or ambiguous input. You are responsible for reviewing all information you provide for accuracy and completeness.

3.3. A document that has not been marked "Validated" carries no representation from us or any Reviewing Attorney as to its legal soundness or enforceability.

4. Attorney Review and the Attorney Relationship

4.1. Independent contractors. Reviewing Attorneys who provide review services through the Platform are independent, licensed legal practitioners. They are not employees of Legalroom, and Legalroom does not supervise, direct, or control the substance of their professional legal judgment.

4.2. Relationship formed. To the extent an attorney-client relationship is formed through the review process, it is formed between you and the individual Reviewing Attorney assigned to your document — not between you and Legalroom. Legalroom is not a party to that relationship and assumes no liability for the professional conduct, advice, errors, or omissions of any Reviewing Attorney.

4.3. Scope of review. Unless otherwise stated at the time of review, Attorney Review confirms only that the document, as drafted, is legally coherent and structured in a manner generally consistent with enforceability under the stated governing law. Attorney Review does not include:

  • Verification of the truthfulness or accuracy of facts you provided;
  • Advice on whether you should enter into the underlying transaction or relationship;
  • Ongoing legal representation, negotiation on your behalf, or representation in any dispute arising from the contract;
  • Tax, regulatory, or business advice outside the four corners of the document itself.

4.4. If you require legal advice beyond the scope of Attorney Review, you should engage independent legal counsel directly.

5. User Accounts

5.1. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

5.2. You agree to provide accurate, current, and complete information during registration and while using the Service, and to update it as needed.

6. Your Responsibilities

You agree that:

6.1. All information and instructions you provide to the AI drafting tool and to Reviewing Attorneys are accurate and complete to the best of your knowledge. We and our Reviewing Attorneys are entitled to rely on the information you provide, and are not responsible for outcomes resulting from inaccurate or incomplete input.

6.2. You will not use the Service for any unlawful purpose, including drafting agreements intended to facilitate fraud, illegal transactions, or agreements with sanctioned or prohibited parties.

6.3. You will not attempt to reverse-engineer, misuse, or interfere with the AI systems, attorney workflows, or security of the Platform.

7. Fees and Payment

7.1. Fees for use of the Service are set out on our pricing page and may vary by document type, complexity, or service tier.

7.2. Fees are payable in advance unless otherwise stated. All fees are non-refundable once Attorney Review has commenced, except as set out in Section 7.3.

7.3. Refunds. If a Reviewing Attorney determines that a request cannot reasonably be completed (for example, due to prohibited subject matter or fundamentally incomplete information), you will be notified and offered a refund of fees paid for that specific document, less any portion attributable to work already performed.

7.4. Turnaround times communicated to you (e.g., "24–48 hours") are estimates, not guarantees, and may vary based on document complexity and attorney availability.

8. Intellectual Property

8.1. Your content. As between you and Legalroom, you own the final, Validated document generated through your use of the Service, subject to payment of applicable fees.

8.2. Our platform. Legalroom retains all rights, title, and interest in and to the Service itself, including the underlying software, AI models, templates, clause libraries, and branding. Nothing in these Terms grants you rights to our underlying technology beyond the specific document(s) you generate.

9. Confidentiality and Data Use

9.1. Contract content you submit may be shared with (a) the AI systems used to generate drafts, (b) the Reviewing Attorney assigned to your document, and (c) service providers who support the Platform's operation (e.g., cloud hosting, payment processing), as further described in our Privacy Policy.

9.2. We take reasonable technical and organizational measures to protect the confidentiality of your documents, but no system is completely secure, and we cannot guarantee absolute security.

9.3. See our Privacy Policy for full details on data collection, use, and your rights.

10. Disclaimers

10.1. THE SERVICE, INCLUDING ALL AI-GENERATED DRAFTS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2. WE DO NOT WARRANT THAT ANY DOCUMENT GENERATED OR VALIDATED THROUGH THE SERVICE WILL ACHIEVE ANY PARTICULAR LEGAL OUTCOME, WILL BE ENFORCEABLE IN ANY SPECIFIC CIRCUMSTANCE, OR WILL BE FREE OF ERROR.

10.3. WE ARE NOT RESPONSIBLE FOR THE OUTCOME OF ANY BUSINESS, PERSONAL, OR COMMERCIAL ARRANGEMENT ENTERED INTO USING A DOCUMENT PRODUCED THROUGH THE SERVICE.

11. Limitation of Liability

11.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALROOM'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID FOR THE SPECIFIC DOCUMENT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.2. IN NO EVENT SHALL LEGALROOM BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.

11.3. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

11.4. This limitation applies to Legalroom specifically. It does not limit any claim you may separately have against an individual Reviewing Attorney for their own professional conduct, which is governed by the applicable rules of professional responsibility and their own professional liability arrangements, if any.

12. Indemnification

You agree to indemnify and hold harmless Legalroom, its officers, employees, and Reviewing Attorneys from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) inaccurate information you provided; or (c) your misuse of any document generated through the Service.

13. Termination

13.1. You may stop using the Service and close your account at any time.

13.2. We may suspend or terminate your access to the Service if you breach these Terms, misuse the Service, or engage in unlawful conduct, with or without notice depending on severity.

13.3. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, and dispute resolution survive termination.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes (e.g., via email or in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

15.1. These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

15.2. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Mediation Act, as the exclusive means of resolution.
